Welcome to BSI Films & Media LLC( also known as “IOS” “Platform,” “we,” “us,” or “our”), operated by BSI Films & Media LLC (“BSI”).

BSI Films & Media LLC is an entertainment-industry discovery and promotional platform designed to provide writers, authors, creators, producers, and other content owners with an opportunity to present selected intellectual property (“IP”) for potential discovery by producers, studios, networks, streaming platforms, financiers, advertisers, publishers, executives, representatives, and other entertainment and media professionals.

These Terms and Conditions of Use (“Terms and Conditions”) govern your access to and use of BSI IP Showcase. By creating an account, purchasing a membership or listing, submitting material, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to these Terms.

1. MEMBERSHIP AND ELIGIBILITY

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use BSI IP Showcase.

You are responsible for providing accurate and current information when registering for or using the Platform.

Membership, listing, promotional, or other fees may apply depending upon the services selected. Applicable pricing and services will be disclosed before purchase.

BSI reserves the right to establish, modify, discontinue, or replace membership levels, listing options, features, pricing, and Platform services at any time, subject to any applicable commitments already purchased.

2. SUBMISSION OF CONTENT

Creators may submit materials for consideration for inclusion on BSI IP Showcase. Depending upon the listing or service selected, materials may include:

Project title and logline (log line no more than 2 sentences)
Synopsis or project description (No more than 4 sentences)
Genre and format
Short Bio of content creator
Selected screenplay, manuscript, treatment, or other written pages
Clips of: Audio, video, podcast, trailer, or related promotional material
Other information reasonably necessary to describe information about your content and/or project.

Submission does not guarantee acceptance or publication on the Platform.

BSI may review submitted materials for completeness, presentation, suitability, technical requirements, compliance with Platform standards, and consistency with the purpose and professional presentation of BSI IP Showcase/Exchange.

3. CREATOR OWNERSHIP

You retain ownership of the intellectual property rights you own in the materials you submit.

BSI does not acquire ownership of your screenplay, book, manuscript, podcast, concept, artwork, or other submitted intellectual property merely because it is submitted to or displayed through BSI IP Showcase.

By submitting materials for an approved listing, however, you grant BSI a limited, non-exclusive license to reproduce, format, display, distribute, promote, and otherwise use those submitted materials as reasonably necessary to operate, market, and promote the Platform and your listing.

This license does not authorize BSI to independently sell, produce, publish, license, or otherwise commercially exploit your underlying project unless you enter into a separate written agreement with BSI.

4. YOUR REPRESENTATIONS

By submitting content, you represent and warrant that:

You own or control the rights necessary to submit and display the materials, or you have obtained all necessary permissions.

Your submission does not knowingly infringe another person's copyright, trademark, privacy, publicity, contractual, or other legal rights.

You have authority to enter into these Terms and authorize BSI to display and promote the submitted materials as described herein.

If a project has multiple owners, authors, producers, or rights holders, you are responsible for obtaining any approvals necessary to submit the project.

5. BSI'S RIGHT TO APPROVE OR REMOVE LISTINGS

BSI IP Showcase is a curated platform.

BSI reserves the right, in its reasonable discretion, to approve, reject, request revisions to, suspend, edit for formatting or presentation, or remove a listing that does not comply with these Terms, Platform standards, legal requirements, or the professional purposes of BSI IP Showcase.

BSI may also remove content that is misleading, fraudulent, unlawful, infringing, defamatory, threatening, obscene, intentionally deceptive, or otherwise inappropriate for the Platform.

6. PROHIBITED CONTENT AND CONDUCT

Users may not use BSI IP Showcase to:

Submit material they do not have the legal right to submit
Impersonate another person or misrepresent ownership of a project
Upload malicious software or interfere with Platform security
Engage in fraud, harassment, threats, or unlawful activity
Misrepresent awards, credits, attachments, financing, rights ownership, sales, representation, or other material facts concerning a project
Scrape, copy, reproduce, or commercially exploit Platform content except as authorized by BSI or the applicable rights holder
Attempt to circumvent security or access restrictions

BSI may suspend or terminate access for violations of these requirements.

7. INDUSTRY ACCESS AND EXPOSURE

BSI IP Showcase is intended to increase the visibility and discoverability of creative projects.

However, BSI does not guarantee that any project will be viewed, requested, optioned, purchased, financed, represented, produced, published, distributed, advertised, licensed, or otherwise commercially developed.

BSI does not guarantee contact from producers, studios, networks, streaming services, publishers, financiers, advertisers, agents, managers, executives, or other industry professionals.

Membership or listing fees are paid for the applicable Platform services and exposure—not for a guaranteed commercial result.

8. NO REPRESENTATION, AGENCY, OR EMPLOYMENT RELATIONSHIP

Unless BSI and a creator enter into a separate written agreement expressly providing otherwise, participation in Showcase/Exchange does not create an agency, management, employment, partnership, joint venture, fiduciary, producer, financing, distribution, or representation relationship between BSI and the creator.

BSI is not acting as the creator's talent agent, literary agent, manager, attorney, financial advisor, or investment representative merely by accepting or displaying a project on the Platform.

Any separate development, production, publishing, adaptation, representation, consulting, or other professional services provided by BSI will be governed by a separate written agreement where appropriate.

9. COMMUNICATIONS AND THIRD-PARTY DEALINGS

BSI IP Showcase may facilitate discovery or communication between creators and third parties.

Creators are responsible for evaluating any inquiry, offer, proposal, representative, producer, investor, publisher, advertiser, buyer, or other third party who contacts them.

Unless expressly agreed otherwise in writing, BSI is not a party to transactions or agreements entered into between creators and third parties.

Creators should obtain appropriate legal, financial, or professional advice before entering into agreements concerning their intellectual property.

10. SIMILAR PROJECTS AND IDEAS

Creators acknowledge that the entertainment and publishing industries frequently develop projects involving similar ideas, themes, characters, settings, genres, titles, factual events, concepts, or story elements.

The submission of material to BSI IP Showcase does not prevent BSI, its users, or third parties from developing, acquiring, representing, producing, publishing, or working with independently created material that may contain similarities to a submitted project.

Nothing in these Terms transfers ownership of a creator's protected intellectual property to BSI.

11. PLATFORM AVAILABILITY

BSI will make reasonable efforts to operate and maintain BSI IP Showcase but does not guarantee uninterrupted or error-free availability.

The Platform may occasionally be unavailable because of maintenance, updates, technical failures, security issues, third-party services, or circumstances outside BSI's reasonable control.

BSI may modify or discontinue features of the Platform when reasonably necessary.

12. DISCLAIMERS

BSI IP Showcase and its services are provided on an “as available” basis to the fullest extent permitted by applicable law.

BSI makes no guarantee regarding the commercial success, marketability, financing, production, publication, distribution, sale, licensing, representation, or other outcome of any submitted project.

Information appearing on individual project listings is generally supplied by the creator or rights holder. BSI does not independently guarantee the accuracy of every representation made by Platform users.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, BSI Films & Media LLC and its owners, officers, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Platform.

This includes, without limitation, alleged lost opportunities, lost profits, loss of data, loss of business, or unsuccessful negotiations arising from participation in BSI IP Showcase.

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.

14. INDEMNIFICATION

You agree to indemnify and hold harmless BSI Films & Media LLC and its officers, employees, contractors, affiliates, and representatives from third-party claims, damages, liabilities, judgments, and reasonable costs arising from:

Materials you submit to the Platform;
Your violation of these Terms;
Your infringement or alleged infringement of another person's intellectual property or other legal rights; or
Material misrepresentations made by you concerning your project or your authority to submit it.

This provision applies to the extent permitted by applicable law.

15. SUSPENSION AND TERMINATION

BSI may suspend or terminate a user's access to BSI IP Showcase for material violations of these Terms, unlawful activity, fraud, infringement, misuse of the Platform, nonpayment of applicable fees, or conduct that materially threatens the security, integrity, reputation, or operation of the Platform.

Upon termination, BSI may remove the applicable project listing from public or industry-facing portions of the Platform, subject to reasonable technical and archival limitations.

16. GOVERNING LAW

These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

17. DISPUTE RESOLUTION

Before initiating formal legal proceedings concerning these Terms or BSI IP Showcase/Exchange the parties agree to make a good-faith attempt to resolve the dispute informally.

Any additional mediation, arbitration, venue, jury-waiver, or other dispute-resolution requirements adopted by BSI should be stated in this section and reviewed by qualified California counsel before publication.

18. CHANGES TO THESE TERMS

BSI may update these Terms from time to time to reflect changes to the Platform, services, business practices, or applicable law.

The current version and effective date will be posted on BSI IP Showcase. Where legally required or appropriate because of a material change, users may be provided additional notice.

19. ENTIRE AGREEMENT

These Terms constitute the general agreement between the user and BSI concerning use of BSI IP Showcase, together with any additional policies, submission agreements, purchase terms, privacy notices, or other agreements expressly incorporated by reference.

Where a separately executed written agreement between BSI and a creator expressly conflicts with these Terms regarding a particular service or project, the separately executed agreement will control with respect to that subject matter.

ACCEPTANCE

By checking “I Agree,” creating an account, purchasing a listing or membership, or submitting materials to BSI IP Showcase, you acknowledge that you have read and understood these Terms of Use and agree to be bound by them.
