BSI | IP SHOWCASE / IP OPEN SLATE (a.k.a. "BSI", “IOS,” the “Platform,” “we,” “us,” or “our”) is a content and intellectual property presentation service offered and operated by BSI Films & Media LLC (“BSI”).

Through IOS, BSI provides writers, authors, creators, producers, and other IP owners with a professional service for presenting and promoting selected original scripts, content, and intellectual property to qualified content-focused companies and decision-makers. BSI's service is designed to provide an additional pathway for eligible projects to gain visibility and potential consideration by studios, producers, networks, streaming companies, advertisers, publishers, financiers, executives, representatives, and other entertainment and media professionals.
These Terms and Conditions of Use (“Terms and Conditions”) govern your access to and use of Showcase/Exchange. By creating an account, purchasing a membership or listing, submitting material, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to these Terms.
MEMBERSHIP AND ELIGIBILITY
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use BSI IP Showcase.
You are responsible for providing accurate and current information when registering for or using the Platform.
Membership, listing, promotional, or other fees may apply depending upon the services selected. Applicable pricing and services will be disclosed before purchase.
BSI reserves the right to establish, modify, discontinue, or replace membership levels, listing options, features, pricing, and Platform services at any time, subject to any applicable commitments already purchased.

CREATOR SUBMISSION, LISTING & INDUSTRY PRESENTATION TERMS
These Creator Submission, Listing & Industry Presentation Terms (“Terms”) establish the conditions under which a writer, creator, or IP owner (“Creator”) may submit and present an original screenplay, content project, or other intellectual property (“Project”) through BSI | IP
SHOWCASE / BSI | IP OPEN SLATE (“IOS”), operated by BSI Films & Media LLC (“BSI”).
1. PURPOSE OF IOS
BSI | IP SHOWCASE / IOS is designed to provide creators with another professional pathway for presenting original scripts, content, and intellectual property to studios, producers, advertisers, publishers, media companies, and other content-focused decision-makers.
IOS is not a contest, competition, festival, or guarantee of representation, financing, production, distribution, sale, option, licensing, or other transaction. Projects may be presented and made available for consideration based on their content, format, genre, category, presentation materials, and relevance to specific content needs or requests.
2. THREE CREATOR PRESENTATION LEVELS
Creators may participate with one of the following types of Project presentations:
LEVEL 1 — SCRIPT ONLY
The Creator has an original screenplay or script but does not currently have a developed presentation package.
What may be presented:

Project title
-
Genre and format
-
Logline and/or synopsis
-
Creator information
-
Other approved project details
Benefit:
Provides the Creator with a professional opportunity to present the underlying story and IP even when the Creator does not yet have additional visual or development materials.
LEVEL 2 — SCRIPT + PROJECT PACKAGE
The Creator has developed the screenplay into a more complete presentation package.
The package may include:

Screenplay/script
-
Logline
-
Synopsis
-
Character information
-
Treatment or project description
-
Series information, where applicable
-
Creator information
-
Additional approved development or presentation materials
Benefit:
A more developed package can provide decision-makers with greater context regarding the story, characters, format, concept, audience, and potential development of the Project.
LEVEL 3 — SCRIPT + PROJECT PACKAGE + CONCEPT VIDEO / SHORT VIDEO
The Creator has a developed script and presentation package supplemented by a concept video, trailer, teaser, short scene, proof-of-concept, or other approved visual material.
The package may include:

Screenplay/script

Project presentation materials
-
Logline and synopsis
-
Character and story information
-
Concept video, teaser, trailer, short video clip, or proof-of-concept
-
Other approved visual or supporting materials
Benefit:
Additional visual material may give a decision-maker a more immediate understanding of the Project's tone, concept, characters, visual direction, audience, and potential production approach.
Important: The availability of additional materials does not guarantee that a Project will receive greater consideration, selection, contact, or a transaction.
4.. CONTENT REQUESTS, MANDATES & PROJECT MATCHING
BSI may receive or become aware of specific content needs, project mandates, genre requests, formats, story types, concepts, or other areas of interest communicated by studios, producers, media companies, advertisers, publishers, or other qualified content decision-makers.
When a specific content request or mandate is received, BSI may review Projects presented through IOS to identify Projects that appear to correspond with the requested genre, format, storyline, concept, subject matter, audience, or other stated requirements.
A Creator does not automatically “get in” or receive access to a studio simply because the Creator has submitted a Level 1, Level 2, or Level 3 Project. The presentation level determines the amount and type of information available about the Project; it does not determine whether a studio will pursue or review the Project.
BSI may identify Projects that appear to match a particular request and may present those Projects to the requesting studio or other decision-maker for potential consideration.
The requesting studio, producer, or other decision-maker—not BSI—will determine which Projects it wishes to review, discuss, pursue, develop, option, license, purchase, or otherwise consider.
This process is intended to create an additional pathway for relevant Projects to reach appropriate content decision-makers while preserving the decision-making authority of the requesting party.
5. WHY ADDITIONAL PROJECT MATERIALS MATTER
The three presentation levels are designed to allow creators to present their Projects at different stages of development.
A Script Only presentation communicates the core written project.
A Script + Project Package provides additional information that may help a decision-maker understand the story, characters, format, concept, and development potential.
A Script + Project Package + Concept Video/Short Video adds a visual component that may help communicate tone, visual direction, characters, scenes, audience, and the overall creative approach.
More presentation materials may provide greater context, but no presentation level guarantees selection or consideration by a studio or other decision-maker.
6. BSI'S ROLE IN PRESENTING THE PROJECT
Where BSI determines that a Project may be relevant to a specific content request or industry opportunity, BSI may present or identify the Project to the applicable studio, producer, media company, advertiser, publisher, or other decision-maker.
Where permitted by the applicable opportunity, BSI may be identified as the production company presenting or promoting the Project.
This designation establishes BSI's role in the presentation and promotion of the Project and does not transfer ownership of the Creator's underlying intellectual property to BSI.
7. IF A STUDIO OR OTHER DECISION-MAKER EXPRESSES INTEREST
If a studio, producer, media company, advertiser, publisher, or other qualified decision-maker expresses substantive interest in a Project introduced or presented by BSI, BSI will notify the Creator of the interest and, subject to applicable confidentiality and business requirements, invite the Creator to participate in applicable calls, meetings, presentations, and discussions concerning the Project.
Where appropriate, BSI may remain involved as the presenting or promoting production company throughout the initial business discussions.
8.NEGOTIATION WITH THE CREATOR
The interested studio, producer, media company, or other party may negotiate directly with the Creator concerning the proposed transaction.
Depending upon the Project and the terms offered, the Creator may be presented with an opportunity involving:

An option agreement

A licensing agreement
-
A purchase or acquisition
-
A development agreement
-
A production arrangement
-
A rights agreement
-
A fee or other compensation
-
Another mutually negotiated business arrangement
No particular type or amount of compensation is guaranteed.
9. CREATOR'S RIGHT TO ACCEPT OR DECLINE
The Creator retains the right to accept or decline an offer concerning the Creator's Project.
BSI does not have authority under these Terms to accept an option, license, sale, purchase, production agreement, or other material transaction on behalf of the Creator unless separately authorized in writing.
The Creator has the final decision regarding whether to accept the substantive terms offered for the Creator's Project.
10. BSI PARTICIPATION AND PRODUCTION ROLE
If a studio or other party decides to move forward with a Project, the studio or acquiring/producing party will determine how the Project will be developed and produced.
The interested studio or production entity may evaluate production companies and producers based on factors that may include:

Production credits
-
Experience
-
Genre experience
-
Available resources
-
Financing
-
Production relationships
-
Development capabilities
-
Other business or production considerations
BSI may be selected to produce, co-produce, develop, or otherwise participate in the Project, but BSI's participation as producer is not guaranteed.
The Creator acknowledges that the studio or other acquiring/producing party ultimately determines who will produce or develop the Project unless otherwise agreed in writing.
11. BSI COMPENSATION
If a Project introduced, presented, or promoted through BSI results in a transaction in which the Creator receives a gross fee, payment, option fee, license fee, purchase price, development fee, or other compensation for the Project or underlying IP, BSI will receive 10% of the gross amount received by the Creator from that transaction, unless a different percentage or compensation arrangement is established in a separate written agreement.
“Gross amount” means the amount payable to the Creator before deductions, taxes, commissions, expenses, or other deductions.
The Creator remains responsible for any taxes, commissions, expenses, or other obligations applicable to the Creator's compensation.
If BSI is separately engaged and compensated as a producer, developer, production company, or service provider, such compensation may be governed by a separate written agreement and will not be presumed to be included in the 10% participation described above unless expressly stated otherwise.
12. NO GUARANTEE OF INTEREST OR TRANSACTION
IOS provides a pathway for presentation and potential consideration. It does not guarantee:

That a studio or other decision-maker will view a Project;

That a Project will match a particular content request;
-
That a Project will receive an offer;
-
That a Creator will receive representation;
-
That a Project will be optioned, licensed, purchased, financed, developed, produced, distributed, or marketed;
-
The amount or type of compensation offered; or
-
That BSI will ultimately be selected to produce or participate in the Project.
13. CREATOR'S RESPONSIBILITY FOR PROJECT INFORMATION
The Creator is responsible for the accuracy of information submitted to IOS, including ownership information, credits, contact information, project descriptions, rights information, and other materials.
The Creator represents that the Creator owns or controls the rights necessary to submit and present the Project through IOS.
14. PROFESSIONAL PRESENTATION
BSI may determine the appropriate format, placement, description, categorization, and presentation of a Project within IOS. BSI may request additional information or materials when appropriate to present the Project professionally.
BSI may decline, remove, modify, or suspend a Project listing when BSI reasonably determines that the Project does not meet IOS requirements, contains inaccurate information, creates a rights concern, or otherwise conflicts with the purpose or operation of the platform.
15. ACKNOWLEDGMENT
By submitting a Project to BSI | IP SHOWCASE / IOS, the Creator acknowledges that:

IOS is a professional presentation and content-access platform and not a contest or competition;

The Creator retains ownership of the Creator's underlying IP except for rights expressly granted in writing;

BSI may present and promote the Project to appropriate content-focused decision-makers;
-
BSI may identify itself as the production company presenting or promoting the Project;
-
BSI may review IOS Projects in response to specific content requests or mandates and identify Projects that appear to match those requests;
-
A matching Project may be presented to the requesting studio or decision-maker, but presentation does not guarantee that the studio will review or pursue the Project;
-
The requesting studio or decision-maker—not BSI—determines which Projects it wishes to pursue;
-
The Creator will be notified of substantive interest and invited to participate in applicable calls and meetings;
-
The Creator retains the right to accept or decline an offer;
-
BSI will receive 10% of the gross compensation received by the Creator from a qualifying transaction resulting from BSI's introduction, presentation, or promotion of the Project, subject to these Terms and any separate written agreement; and
-
No sale, option, license, production agreement, compensation, representation, or other transaction is guaranteed.
16. SEPARATE AGREEMENTS
Any option, license, purchase, production, development, distribution, publishing, or other transaction resulting from a Project may require a separate written agreement between the applicable parties.
If BSI is engaged to provide additional services or participate as a producer, production company, developer, or other party, those services and responsibilities may be established in a separate written agreement.
